1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SpecAlign, Inc. ("SpecAlign," "we," "us," or "our") governing your access to and use of the SpecAlign platform, website, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

SpecAlign is a construction specification management platform that helps teams organize, distribute, and access project specifications. Key features include:

  • AI-powered document extraction and specification organization
  • QR code generation for field access to specifications
  • Project and room management
  • Team collaboration and role-based access control
  • Change tracking and approval workflows

3. Artificial Intelligence Notice & Disclaimer

How We Use AI

SpecAlign employs artificial intelligence to automatically extract specifications from construction documents, saving you hours of manual data entry. Our AI analyzes uploaded PDFs, images, and design documents to identify room names, finishes, fixtures, and other specification data.

Important Limitations

While our AI is designed to be accurate, no automated system is perfect. AI-extracted content may contain errors, miss information, or misinterpret source documents.

Your Responsibility

You agree to treat all AI-extracted content as a starting point that requires human verification. Before using any specification for construction, procurement, or installation purposes, you must:

  1. Review the extracted data against original source documents
  2. Verify accuracy with qualified professionals on your team
  3. Confirm the information meets your project's requirements

No Liability for AI Content

SpecAlign provides AI extraction as a productivity tool, not as a source of verified construction specifications. We expressly disclaim all liability for any errors in AI-processed content and any resulting damages, including but not limited to construction defects, rework, delays, or cost overruns.

BY USING THIS SERVICE, YOU ACKNOWLEDGE THAT RELIANCE ON AI-EXTRACTED CONTENT WITHOUT INDEPENDENT VERIFICATION IS AT YOUR SOLE RISK.

4. Construction Industry Disclaimer

SpecAlign is a document management and organization tool. It is not a substitute for:

  • Licensed architectural or engineering review
  • Building code compliance verification
  • Professional construction management
  • Quality control inspections
  • Permit or regulatory approval processes

All construction work should be performed by qualified professionals who independently verify specifications against approved construction documents, applicable building codes, and industry standards.

5. Your Account

To use SpecAlign, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

6. Your Data & Content

6.1 Ownership

You retain full ownership of all documents, specifications, project data, and other content you upload to SpecAlign ("Your Content"). We do not claim any ownership rights over Your Content.

6.2 License to Us

By uploading content, you grant SpecAlign a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service to you and your team. This includes processing documents with AI to extract specifications.

6.3 License for Anonymized Data

In addition to the license above, you grant SpecAlign a perpetual, irrevocable, worldwide, royalty-free license to create anonymized, aggregated derivatives from Your Content for the purposes described in Section 6A (Data Aggregation & AI Development) below. This license:

  • Applies only to data that has been fully anonymized (all identifying information removed)
  • Survives termination of your account for data already anonymized
  • Does not grant us rights to your original documents or identifiable project data
  • Cannot be used to reconstruct or identify your specific content

6.4 Your Responsibilities

You are responsible for ensuring that:

  • You have the right to upload and share Your Content
  • Your Content does not violate any third-party rights
  • Your Content complies with applicable laws
  • Sensitive information is appropriately protected

6A. Data Aggregation & AI Development

Our AI Development Mission

SpecAlign is committed to advancing AI capabilities for the residential construction industry. To achieve this, we develop specialized AI models trained on construction specification data. This section explains how we use aggregated data for this purpose.

What We Do

  • Aggregate: Combine specification data from across our platform
  • Anonymize: Remove all identifying information (names, addresses, project details, organization names)
  • Train: Use anonymized datasets to develop and improve AI models
  • Commercialize: License resulting AI models and insights to third parties in the construction industry

Data That May Be Used

  • Specification patterns and common finish selections
  • Material types, manufacturers, and product references
  • Room classifications and specification categories
  • Construction terminology and industry nomenclature
  • Structural patterns in how specifications are organized

Data That Is Never Used

  • Original documents, PDFs, or images
  • Personal names, email addresses, or contact information
  • Project names, addresses, or geographic locations
  • Organization or company names
  • Any information that could identify a specific project, person, or organization

Your Rights

  • Your individual data remains private and is never shared in identifiable form
  • You retain full ownership of your original documents and project data
  • You may delete your account and identifiable data at any time
  • Anonymized data that has already been aggregated cannot be individually deleted (as it is no longer identifiable)

BY USING SPECALIGN, YOU CONSENT TO THE AGGREGATION AND USE OF ANONYMIZED DATA AS DESCRIBED IN THIS SECTION FOR AI MODEL DEVELOPMENT AND COMMERCIAL PURPOSES.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Scrape, crawl, or automated bulk access without permission
  • Resell or redistribute the Service without authorization
  • Impersonate others or misrepresent your affiliation
  • Use the Service to compete directly with SpecAlign

8. Payment Terms

Paid features are billed according to the plan you select. By subscribing:

  • You authorize us to charge your payment method on a recurring basis
  • Prices may change with 30 days' notice
  • Refunds are provided at our discretion
  • Non-payment may result in service suspension

9. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by SpecAlign and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

"SpecAlign" and our logo are trademarks of SpecAlign, Inc. You may not use our trademarks without prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • AI-extracted content will be accurate or complete
  • The Service will meet your specific requirements
  • Defects will be corrected in any particular timeframe

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECALIGN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Construction defects, rework, or project delays
  • Costs of substitute services
  • Loss of data or data breach
  • Personal injury or property damage

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless SpecAlign and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of AI-extracted content without independent verification
  • Construction activities based on information obtained through the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your Content or your use of the Service
  • Any third-party claims related to your projects

13. Termination

You may close your account at any time by contacting support or through account settings. We may suspend or terminate your access if you violate these Terms or for any other reason with notice.

Upon termination:

  • Your right to access the Service ends immediately
  • You may request export of Your Content within 30 days
  • We may delete Your Content after a reasonable retention period
  • Provisions that should survive termination will remain in effect

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Austin, Texas, except that either party may seek injunctive relief in court for intellectual property violations.

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpecAlign.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
  • Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control.
